Organization’s Governance System

HUMANITY ACTION NETWORK (HANET) is under the management of Board of Directors who draws their strength and relies on policy directives from the assembly.

The Board’s role is summarized as; reviewing policy matters, coordinating and guiding the implementation activities and other matters delegates by the general membership council with impartiality and objectivity.  At general membership council (assembly) decisions are taken on 2/ 3-majority votes, and at board level is applied on consensus basis.

The board supervises the Management and takes responsibility for all actions of the Organization. This system is governed by documented constitution/by-laws. At least 70% of board members meet every 3 months. Board members fundraise for the NGO and can provide legal, medical and management advice.

HANET has a written strategic plan, carrying out mid cycle evaluation and assessment. Board members and staff all know the strategic values, vision and mission of the organization. Annual work plans and budgets are developed in line with the strategic plan.

Management delegate tasks and share information with everyone through regular meetings and do not try to do everything by themselves. The board and management ensure the NGO complies with all local reporting, tax and labour requirements.

One of HANET ’s biggest strength and capacity is in its human resource; a team of relatively young and educated persons. The staff possess good academic and technical qualifications, skills but also exposure to diverse environments mostly on the positive side thus gaining immense experience in their area and sectors of operation

JOB DESCRIPTIONS

HANET Board chairman,

Duties and responsibilities:

  • Oversee board and executive committee meetings.
  • Work in partnership with the chief executive to make sure board resolutions are carried out.
  • Call special meetings if necessary.
  • Appoint all committee chairs and with the chief executive, recommend who will serve on committees.
  • Assist chief executive in preparing agendas for board meetings.
  • Assist chief executive in conducting new boated members’ orientation.
  • Oversee new searches for new chief executive.
  • Coordinate chief executive’s annual performance evaluation.
  • Work with the nominating committee recruit new board members.
  • Act as an alternate spokesman for the organization.
  • Periodically consult with board members on their roles and help them assess their performance.

Vice chairman’s roles and responsibilities:

  • Attend all board meetings.
  • Serve on the executive committee.
  • Carry out special assignments as requested by the board chairman.
  • Understand the responsibilities of the board chair and be able to perform these duties in the absence of the chairperson.

Treasurer’s roles and responsibilities,

  • Maintain knowledge of the organization and personal commitment to its goals and objectives.
  • Understand financial accounting of the organization.
  • Serve as financial officer of the organization and as chairperson of the financial committee.
  • Manage with the finance committee.
  • Work with the chief executive and the chief financial officer to ensure that appropriate financial reports are made available on board timely basis.
  • Assist the chief executive or the chief financial officer in preparing the annual budget and the budget to the board for approval.
  • Review the annual audit.

Secretary:

  • Attend all board meetings.
  • Serve on the executive committee.
  • Maintain all records and ensure the accuracy and safety.
  • Review board meetings.
  • Assume responsibility of the chair in the absence of the board chair and vice chairman.
  • Provide notice of meetings of the board and/or committees when such notices are provided.

Project Manager.

  • The project manager who is an advanced diploma in project management holder shall be: –
  • Responsible overall project activities.
  • Responsible to prepare progress reports on weekly and/or monthly basis.
  • Responsible to solve and seek solutions for project constraints with the help of the local authorities and community elders.
  • Responsible to plan monthly field activity.

Responsible to conduct project planning and scheduling.

 

Board of Directors 

Board of Directors is the highest governing body of the Organization whose duties and responsibility includes policy formation, fund-raising, lobbying and advocacy, financial oversight, representation of contingency, decision making process and election chairperson and executive committee of organization.
